Buzan Online Affiliate Programme

The Buzan Online Affiliate Programme is subject to the following terms and conditions.

Terms and conditions:

Definitions:
1. ‘Affiliate’ means the company or individual who has signed up to be an Affiliate of Buzan Online Ltd.
2. ‘Second level Affiliate’ means an Affiliate that has been signed up via another Affiliate.
3. ‘Commissions’ means the payments made to an affiliate by Buzan Online Ltd.
4. ‘Cookie’ means a file planted in a customer’s disk drive, that is used to track where the customer originated from by the Buzan Online affiliate system.
5. ‘Affiliate Programme’ means the affiliate management solution that supports affiliates, tracks referrals and sales and manages commissions.
Scope of the Affiliate Programme
1. Buzan Online has developed a comprehensive affiliate system that allows a third party Affiliate to link to the iMindMap website (www.iMindMap.com) and where a sale of Buzan’s iMindMap software is made, track such activity and attach it to an affiliate report on which commissions are paid.
2. Buzan Online has implemented systems and processes in order to enable it to adequately track Affiliate visitor activity, manage commissions and issue payments accordingly. Tracking systems include a combination of URL code tracking, cookie based tracking and email address tracking.
3. The Buzan Online Affiliate Programme is capable of allowing high level Affiliates to sign up a second level Affiliates and receive commissions on any subsequent orders so created by such second level Affiliates. The second tier affiliate programme is only available to high volume and proven affiliates and requires additional approval.
4. Buzan Online will endeavour to support the Affiliate programme in a manner and standard acceptable of the industry.
Link Display
Buzan Online will provide the Affiliate with a visible link (URL), correctly configured with the Affiliate’s code, with which to link the Affiliate website to the iMindMap website (www.iMindMap.com). The Affiliate may use graphic and text links both on its website or in emails. The site may also be advertised ‘offline’ in classified ads, magazines and newspapers.
Tracking
1. Buzan Online will be solely responsible for tracking sales using the following methods:
  - A bespoke system that communicates with the specially encoded URL assigned to the Affiliate.
  - Cookies placed in the end user computer will be used to track customers re-entering the iMindMap site at a later date to purchase.
  - If cookies are removed or not allowed by the end user and the customer does not enter the site directly through the Affiliate’s website or through the ‘Buy Now’ link within the product, the customer will be tracked in the last instance by the email address that they used to register for the product download.
2. Buzan Online uses a ‘last Affiliate wins’ system under which a particular customer is assigned to the last Affiliate site he visited prior to entering the iMindMap website and completing a transaction. For instance, the user visits Affiliate A; then enters the iMindMap website but does not complete a transaction; then the user later visits Affiliate B; finally the user enters the iMindMap website again and this time makes a purchase. In this case the customer is assigned to Affiliate B, and the commission is paid to Affiliate B.
3. Notwithstanding the above statement of responsibility by Buzan Online to track sales, the Affiliate hereby acknowledges and accepts that the tracking system employed by Buzan Online is not 100% fail-safe and that there may, on occasion, be instances of referral sales made that are not credited to the Affiliate for any of the following possible reasons:
  - Failure by the Affiliate to use the proper format of the specially assigned URL in promotions, web page links, banner ads etc.
  - Deliberate or accidental actions by customers to circumvent an affiliate’s special URL or provision of different email addresses.
  - Bugs, glitches or crashes of the tracking system that renders it unable to accurately track sales for a period of time.
  - Acts of nature that cause irretrievable data loss on the computers and back-up disk media.
Other responsibilities of Buzan Online
1. Buzan Online shall be responsible for all aspects of the Customer relationship, including order processing and fulfilment, cancellations and returns, and technical support.
2. Buzan Online will provide the Affiliate with a facility for viewing their sales reports online.
3. Buzan Online will endeavour to do its best to ensure accurate tracking of referrals made by Affiliates through the methods detailed in clause 5.
4. Buzan Online will pay the Affiliate a 40% commission for each qualified purchase of Buzan’s iMindMap software (based on the UK Pound Sterling selling price, regardless of the currency of the transaction), as a direct result of the sale being generated from the Affiliate’s links. The commissions are exclusive of costs for shipping, handling, taxes and service charges. A qualified purchase is a sale recognised by Buzan Online and made within the return day period of 90 days.
5. Buzan Online will inform the Affiliate of any price changes of its products sold through the Affiliate. Buzan Online reserve the right to change the pricing or commission rate at any time.
Responsibilities of the Affiliate
1. The Affiliate will be solely responsible for ensuring that its specially assigned URL is uploaded to the Affiliate website or displayed on other materials in its proper format.
2. The Affiliate shall be responsible for the operation and maintenance of its website and for all materials that appear on its website.
3. If you are using PPC (Pay Per Click) advertising there will be exclusions on some search terms for promotion of iMindMap. These include the terms iMindMap, Mind Mapping, Mind Maps, Mind Mapping Software, Tony Buzan, or any near matches to these terms. Please check with us for permission before using any such terms in PPC campaigns. This list is not exhaustive and may change at any time.
Payment Terms
1. Buzan Online will pay the Affiliate on a monthly basis, approximately 30 days following the end of each calendar month, for the commissions earned on sales of Buzan’s iMindMap that were downloaded/shipped during that month. Payments will be made either by direct into the Affiliate’s PayPal account. All payments are based on the standard UK selling price (in GBP).
2. The rate of commission is 40% of the total sales value, not including shipping, VAT or other additional charges.
3. A commission will only be credited to an Affiliate after the customer has made full payment to Buzan Online. If the customer later requests a refund or chargeback is issued by the credit card holder whose credit card was used to make payment, the corresponding commission will be deducted from the Affiliate’s next monthly payment.
4. No commission will be paid on sales deemed to be suspect of, or indeed fraudulent, until such time that Buzan Online is satisfied that no chargebacks will occur.
5. Payment will only be made if your total amount of commission is greater than £50 otherwise the amount due will be carried forward.
Term of the Agreement
The term of this Agreement will begin upon acceptance of the Affiliate application and will end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. For the purpose of this agreement 'written notice' also includes communication via email.

The Affiliate is only eligible to earn commission on sales occurring during the term. On termination of the agreement, the Affiliate shall immediately cease use of, and remove from its website, all links to the iMindMap website (www.iMindMap.com), all Buzan Online’s trademarks and logos, and all other materials provided by or on behalf of Buzan Online to the Affiliate.
Buzan Online reserve the right to alter the terms of this agreement at any time by informing the affiliate in writing or by email.
