Software License Agreement

 

This agreement is between you and OpenGenius Limited (“we”, “us”, or “OpenGenius”), the company behind AYOA. We are registered in England and Wales (company number 05653541) with our registered office at Tec Marina, Terra Nova Way, Penarth, CF64 1SA.

When you create an account or use AYOA, you agree to these terms. Please read them carefully. If you don’t agree, you must not use AYOA.

Important: You should print or save a copy of this agreement for your records.

What you’re getting

We give you a license to use AYOA (the software and related services). You do not own AYOA – we remain the legal owners at all times. You can use AYOA for personal, educational, or business purposes, within the limits of this agreement.

This agreement also covers any electronic documents that come with the software.

Plans and fees

Free plan

We offer a free version so you can test the compatibility of AYOA with your time management and project planning requirements. Free AYOA plans provide limited access to features, including import/export options and AI assistance.

Paid plans – AYOA

Lifetime access

This refers to the lifetime of the AYOA product, not your lifetime. If the product is discontinued, replaced, or becomes commercially unviable, lifetime access to your AYOA plan may end. We’ll give notice and, where possible, provide alternative solutions for your project needs.

Typically not available, but requests are reviewed on a case-by-case in line with consumer laws. You won’t be entitled to a refund after payment except in specific circumstances:

Fair use policy

AI Services

Your usage should follow reasonable and fair practices. Excessive or abusive use (including repetitive or automated queries) may result in restrictions on your access.

Board size and resource management inside AYOA

Excessive creation of large boards or high volumes of boards may significantly impact performance for all users.

You must manage board resources responsibly. Boards that excessively strain our servers may be archived or removed at our discretion.

File storage

You must use file storage fairly and not to such an extent that it limits resources for other users. We may terminate access if we determine your usage is excessive.

Account sharing

User accounts are for the exclusive use of the registered user. Account sharing violates this agreement and may result in suspension or termination.

Security and data protection

Academic and educational use

Many users rely on AYOA for essays, research, and learning. If you’re an educational institution, this agreement applies to you and each teaching staff member and registered student at your site.

The administrator or super user is the subscription holder. Team members who accept invitations agree that administrators are their authorised representatives. Administrators may:

Any boards or content created in team member accounts becomes the property of the admin.

Important: If you don’t consent to these terms, don’t accept a team invitation.

Software updates and new versions of AYOA

Maintenance releases We provide free maintenance releases (patches and error corrections) that you should install as soon as reasonably practicable. These won’t adversely affect existing software functions.

New versions We may create new versions with significant differences that constitute new products. We also reserve the right to modify AYOA by adding or removing features at any time.

Incident management

We are committed to protecting your privacy and enforce a robust incident management policy should data be compromised due to a cyber attack. OpenGenius is an ICO registered business and works closely to NSCS and UK government guidelines as well as international data protection governance to keep your information secure.

Intellectual property

Liability and risk limitations

If you’re a business user

We acknowledge that AYOA hasn’t been developed to meet your specific individual requirements. You must ensure AYOA meets your needs before use.

We are not liable for:

Maximum liability: Limited to the license fee you’ve paid, except for death/personal injury from our negligence, fraud, or other liability that cannot be excluded under English law.

If you’re a single consumer

We supply AYOA for domestic and private use only. We’re only responsible for foreseeable loss or damage resulting from our breach or negligence, up to the license fee amount.

General risk limitations

Your right to terminate

You can stop using AYOA and terminate this agreement at any time by notifying us in writing. You can cancel your plan at any time from within your Account Settings – cancellation takes effect at your next renewal date.

We may terminate immediately with written notice if you commit a material or persistent breach that you fail to remedy within 14 days. Material breaches include:

Consumer communications

If you’re a consumer and you would like to submit any communication to us, contact us by email or post to OpenGenius Limited at Tec Marina, Terra Nova Way, Penarth, CF64 1SA.

We’ll confirm receipt normally by email, so please be sure to include all pertinent contact information.

Business communications

If you’re a business, notice is deemed received immediately when posted on our website, 24 hours after email is sent, or three days after posting a letter.

Events outside our control

We won’t be liable for failure to perform due to events beyond our reasonable control, including telecommunications and internet network failures.

If this happens, our obligations are suspended for the duration, and we’ll use reasonable effort to work with you to find a mutually agreeable and viable solution.

Assignment and transfer

If any part of this agreement is found invalid, the remaining parts stay in force.

Waiver

If we don’t enforce a term once, it doesn’t mean we waive the right to enforce it later.

Entire agreement (Business customers)

For business customers, this agreement constitutes the entire agreement and supersedes all previous agreements, promises, and understandings unless otherwise stated in bespoke contracts approved by OpenGenius Ltd.

Governing law and jurisdiction

Consumer rights

If you’re a consumer, this agreement is governed by English and Welsh law. Courts of England and Wales have jurisdiction, though Northern Ireland and Scottish residents may also bring proceedings in their home jurisdictions.

Nothing in this agreement limits your mandatory statutory rights under local consumer laws.

Business terms

If you’re a business, this agreement and all disputes are governed by English and Welsh law, with exclusive jurisdiction in England and Wales courts.
